MIDA TERMS AND CONDITIONS

Welcome to the MIDA website (“We, Us or Our”). Below are the Terms of Service (“T&C”), which govern the relationship between you (“User”) and MIDA.

These T&Cs apply to all visitors, users, and any other individuals who access or use the application interface, as well as other services provided by MIDA (“Service”).

By accessing our website, installing the application from the Shopify App Store, or using any other Service of ours, the User confirms that they have read, fully understood, and agreed to be bound by the terms of this T&C as well as other policies issued by Us.

  • TERMS AND CONDITIONS FOR USING THE SERVICE

  1. To use the Service, the User is responsible for fulfilling and maintaining all of the following conditions:
  1. The User must be at least eighteen (18) years old, possess full civil capacity under the law to perform contractual obligations, and have the ability to take legal responsibility for all of their decisions; 
  2. If the User uses the Service on behalf of a business or organization, the User warrants that they have full legal authority to represent and bind that legal entity to comply with this T&C and related policies; 
  3. The User commits to providing truthful, accurate, and complete contact information and account data, and is responsible for updating them promptly upon any change. We shall be indemnified and held harmless from any liability for any damage or loss arising from the User providing false, inaccurate, or outdated information; 
  4. The User confirms that they are not on any sanctions, embargo, or trade restriction list issued by the United Nations, the European Union, or any other global economic organization or association, whether as an individual or representing any legal entity or organization; 
  5. Not violating or committing any prohibited acts in any form as specified in Clause 1.2 of this T&C.
  1. The User fully understands and commits not to perform, intentionally perform, permit, or assist any third party in performing any prohibited acts during the use of Our Service, including:
  1. Copying, modifying, enhancing, translating, adapting, or creating derivative works from the Service. Engaging in reverse engineering, decompiling, disassembling the source code, or attempting by any means to discover the source code or algorithmic structure of the application. 
  2. Selling, renting, leasing, sublicensing, distributing, assigning, or otherwise commercializing the Service/application to any third party without Our prior written consent. 
  3. Intentionally or unintentionally overloading, destroying, interfering with, or disrupting the network infrastructure, servers, or security of the application; bypassing, disabling, or invalidating any technical protection or copyright management mechanisms integrated into the system. 
  4. Using tools to access, collect, unauthorizedly extract data, or scrape information from Our application and system. 
  5. Using the application for any illegal purpose, in violation of the User’s local laws, or in violation of Our policies and Shopify’s policies. 
  6. Removing, obscuring, or altering any notices regarding copyright, trademarks, or other proprietary rights of Ours displayed on or attached to the application or the Service. 
  7. Using the Service or any data, content, or information accessed through the Service to develop a competing product or service, such as developing, distributing, or selling any other software or functionality with similar capabilities that is launched from or integrated with the Service. 
  8. Using or combining the Service or any component thereof with other software, databases, or services not provided or approved by Us. 
  9. Deleting, modifying, hacking, or attempting to alter or modify the Service, any data, content, or information provided through the Service, or any notices on the Service. 
  10. Unauthorized introducing into the Service any viruses, malicious programs, Trojan horses, worms, or malicious codes, software processes, or hardware components intended to permit unauthorized access, disable, delete, or harm the Service. Additionally, introducing into the Service any “backdoor”, “time bomb”, “drop dead device”, or any other software process designed to automatically disable a computer program over time or under the control of an unauthorized person is strictly prohibited.
  1. The User shall be solely responsible for ensuring that their use of the Service complies with all applicable local, national, and international laws and regulations. Specifically, the User bears exclusive responsibility for:
  1. Obtaining Required Consent: Requesting, obtaining, and maintaining all necessary consents and permissions from website visitors and end-users prior to collecting, processing, or tracking their data through the Service.
  2. Privacy and Cookie Disclosures: Providing clear, accurate, and legally compliant privacy policies and cookie notices on their storefronts, fully disclosing how visitor data is collected, stored, and utilized by third-party applications.
  3. Lawful Feature Utilization: Ensuring that the deployment and use of all session replays, heatmaps, analytics tools, and AI-powered features provided by the Service strictly adhere to applicable data privacy, consumer protection, and electronic communication laws.
  4. User Review Obligation: We do not warrant or guarantee the accuracy, completeness, or reliability of any AI Outputs. Therefore, the User remains solely responsible for independently reviewing, verifying, and validating all AI Outputs before relying on, implementing, or executing them in their business operations.
  5. Account Security: The User bears exclusive responsibility for maintaining the strict confidentiality of their account credentials and managing all associated staff access permissions, accepting full liability for any and all activities executed under their account. Furthermore, the User is solely responsible for properly configuring lawful tracking and visitor consent settings within the Application, as well as safeguarding their own local hardware, operating systems, and network infrastructure against unauthorized access, malware, or security breaches.
  1. By using the Service, the User affirms and warrants that they have fully met the aforementioned conditions. The User fully understands that these are legally binding commitments and must be strictly complied with. In the event of any violation of any terms or policies, We reserve the absolute right to apply corresponding necessary measures to prevent the User’s non-compliance, and such action shall be executed immediately without prior notice.
  2. In the event that the User is found not to meet the usage conditions or violates the stated commitments, MIDA has the right to unilaterally take the following measures without prior notice:  
  1. Deny, suspend, or terminate the provision of the Service; 
  2. Temporarily suspend or permanently close the User’s account; 
  3. Revoke all access rights and data related to the User’s account; 
  4. Conduct a comprehensive investigation and prosecution against any violation of the aforementioned terms, and may participate in and cooperate with law enforcement authorities in processing and prosecuting authorized Users who engage in illegal acts or violate this T&C.
  5. Upon the expiration of the suspension period or following the permanent deletion of the User’s account, We reserve the absolute right to permanently delete all associated data. MIDA does not guarantee the restoration or recovery of any deleted data after the expiration of the applicable retention period.
  • INTELLECTUAL PROPERTY RIGHTS

  1. Except as expressly set out in these T&C, all intellectual property rights in and to the Service and licensed content (if any) remain the sole property of MIDA and its licensors. The User assigns to MIDA any suggestions, ideas, enhancement requests, or other feedback you provide to MIDA relating to the Service. MIDA owns all content, data, software, inventions, ideas and other technology and intellectual property that it develops in connection with the Service and its products.
  2. The Client agrees to grant MIDA a limited, non‑exclusive, worldwide, royalty‑free license to use the Client’s trademarks, trade names, and logos for the purpose of promoting and marketing MIDA’s Services, without the need for prior approval for each individual marketing material, unless otherwise agreed in writing. Except as provided in this Section, nothing shall be construed as granting either party any right or interest in the intellectual property rights of the other party.
  • SERVICE AND BILLING

  • Pricing
  1. All Subscription fees and charges associated with your use of the Service are processed exclusively through Shopify Billing. By subscribing to the Service, you acknowledge and agree that all transactions are subject to Shopify’s standard billing policies, terms of service, billing cycles, prorating logic, and payment processing rules. MIDA does not directly collect, store, or process your credit card or financial information.
  2. All of Our Service fees are exclusive of taxes, duties, levies, VAT, GST, or similar charges. The User is responsible for self-declaring and paying all taxes arising in connection with the use of Our Service in accordance with the laws of the local country where the User resides or maintains their business headquarters, with the exception of taxes levied directly on Our income.
  • Subscriptions, Renewals and Cancellation
  1. If the User is subscribing to a paid plan subscription will automatically renew each Billing Cycle.  
  2. The User can cancel the subscription at any time. Accordingly, the subscription will be cancelled at the end of the then-current Billing Cycle and the User will not be entitled to a refund of any fees already paid (except where required by law) and any outstanding fees will become immediately due and payable.
  • Free trial

MIDA offers a free trial to allow the User to try our Service. MIDA reserves the right to set eligibility requirements and the duration for free trials. At the end of the free trial, MIDA will charge the relevant subscription fee for the next Billing Cycle to the User’s nominated payment method, unless you cancel the subscription prior to the end of the free trial. 

  • Refund policy
  1. If MIDA agrees, in its sole discretion or as required by law, to refund, waive, credit, or otherwise adjust a Shopify-managed charge, such refund, waiver, credit, or adjustment is only available for amounts that were successfully charged, collected, and confirmed through Shopify. Issues considered for refunds include:
  • Major technical issues; 
  • Service malfunction; 
  • Serious disruption or data loss caused directly by the Service.
  1. Except to the extent required by law or expressly covered by MIDA’s published refund or waiver conditions, any refund, waiver, credit, or other billing accommodation does not include amounts charged, retained, assessed, or collected by Shopify for taxes, platform fees, processing-related amounts, or other non-refundable charges imposed through Shopify’s billing system.
  2. Accordingly, for refund requests made for reasons outside MIDA’s expressly approved refund or waiver conditions, we will not be responsible for reimbursing any fees, taxes, or similar amounts charged by Shopify and not returned by Shopify.
  • We reserve the absolute right to adjust the current fee schedule or apply new fees to the provided Services. Users will be notified of any price adjustments in advance via email, continued use of the Services after the effective date constitutes agreement to the updated pricing. These new fee rates shall only take effect from the commencement of the subsequent Billing Cycle when the User’s Subscription automatically renews.
  • WARRANTY, DISCLAIMER AND LIABILITY

  • Warranty

Except as expressly provided herein, neither party makes any warranty of any kind, whether express, implied, statutory or otherwise, and each party specifically disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement, to the maximum extent permitted by applicable law. We do not warrant that the Service complies with any local or international law or regulations.

  • Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SERVICE OR THE USE OR OTHER DEALINGS IN THE SERVICE.

  • Limitation of Liability 

In no event will either party’s aggregate cumulative liability (whether in contract, tort, negligence, strict liability in tort or by statute or otherwise) exceed the greater of (i) $100 USD or (ii) the subscription fees paid by the User paid to Us during the 12 months prior to the occurrence of the claim. In no event will either party be liable for any consequential, incidental, indirect, special, exemplary or punitive damages, losses, or expenses (including but not limited to business interruption, lost business or lost profits) even if it has been advised of their possible existence and notwithstanding the failure of essential purpose of any remedy. Users accessing the Service from other jurisdictions do so at their own risk and are solely responsible for local law compliance. 

  • LINKS TO THIRD-PARTY WEBSITES AND SERVICES

  1. Our Service may contain links to third-party websites or services that are not owned or directly controlled by MIDA.

  2. We have no control over, and assume no responsibility for, the content, privacy policies, safety standards, products, or offerings of any third-party websites or services.

  3. MIDA shall not be held liable or responsible, directly or indirectly, for any damage, loss, or incident caused or alleged to be caused by or in connection with the User’s use of or reliance on any such content, goods, or services available on or through any such third-party websites and services.

  4. We strongly recommend that the User proactively review, carefully read, and fully understand the terms of use and privacy policies of any third-party websites or services that the User chooses to access and use.

  • DATA PRIVACY

  1. We implement and maintain physical, technical and administrative security measures designed to protect your information from unauthorized access, destruction, use, modification or disclosure. 
  2. We take privacy seriously, and we want you to know what information we are collecting from you and how we are using it. Please read our Privacy Policy carefully. The Privacy Policy is incorporated into these T&C as part of our T&C.
  • ANALYTICS, REPORTING, AND AI PROCESSING

  1. MIDA may offer automated data processing functionalities powered by artificial intelligence (“AI Features”), utilizing advanced third-party models and infrastructure. The User acknowledges and agrees that because these AI features rely on third-party systems outside MIDA’s direct control, MIDA does not guarantee their continuous availability, quality, or performance, which may fluctuate due to provider availability, traffic volume, or technical limitations. 
  2. For Service involving AI Feature, MIDA will apply standard quality control procedures prior to delivery, provided that such commitments are fulfilled on a best-efforts basis subject to the inherent technical limitations of AI. Furthermore, the User acknowledges that the accuracy and performance of the Service, including any AI Feature, depend entirely on Shopify’s data availability and API synchronization. The Service may not operate in real time, and MIDA assumes no liability for delays, errors, or discrepancies resulting from such platform dependencies.
  3. AI Feature operates on a strict opt-in framework and is not active by default. AI-related data processing is only initiated when:
  1. The User intentionally enables the applicable AI Feature, toggles, configurations, or specialized AI add-ons within the Application; and
  2. The User actively chooses to utilize or execute AI-powered functionalities within the regular course of operating the Service.
  1. When AI features are enabled, MIDA may utilize the User data already collected through the Service to generate AI-powered outputs and insights. MIDA covenants and agrees that it does not use, sell, or disclose any User data, merchant operational data, or end-customer data to train, retrain, calibrate, or fine-tune its own proprietary AI models or those of its third-party providers. 
  2. MIDA reserves the right to restrict access to certain AI Features based on the User’s current subscription plan eligibility, specialized usage quotas, or the mandatory purchase of separate paid add-ons.
  3. By activating, accessing, or using any AI Features, User expressly agrees to be bound by MIDA’s AI terms of this T&C, as updated from time to time. If User does not agree to the AI Terms, User must not activate or use the AI Features. 
  • INDEMNIFICATION

The User agrees to indemnify, defend, and hold Us (including all affiliates, along with all directors, employees, partners, and agents of MIDA) completely harmless from and against any and all claims, demands, liabilities, losses, damages, legal fees, penalties, and expenses (including attorney’s fees and court costs) brought by a third party, caused by, arising out of, or in connection with:

  1. Any information, data, or content submitted, posted, or transmitted on and through the use of Our Service by the User or anyone using the User’s account. 
  2. The use of Our Service or third-party services by the User or anyone accessing via the User’s account. 
  3. Any violation of the terms of this T&C by the User or anyone using the User’s account. 
  4. Any violation of any third-party rights, including but not limited to intellectual property rights or personal data rights, by the User or anyone using the User’s account.
  • MISCELLANEOUS

  1. Governing law. These Terms and Conditions and any separate agreements related to Our provision of the Service to the User shall be governed, interpreted, and construed entirely in accordance with the legal system of the Socialist Republic of Vietnam.

  2. Dispute resolution. Any dispute arising out of or in connection with this agreement between Us and the User (regardless of whether such dispute involves a third party) shall first be prioritized for resolution through negotiation and conciliation. In the event that a mutual agreement cannot be reached, the dispute shall be brought for exclusive resolution before the competent People’s Court in Hanoi City, Vietnam.

  3. Force majeure. Neither party shall be held legally liable, subject to non-compliance penalties, or responsible for damages due to delays or failure to perform obligations if prevented by Force Majeure events. These events include, but are not limited to: natural disasters (storms, fires, floods, earthquakes), war, riots, terrorism, sanctions, embargoes, measures/regulations imposed by the government, or public infrastructure failures (power, telecommunications) beyond the reasonable control of the parties. The party affected by the Force Majeure event is responsible for making every effort to notify the other party immediately and finding ways to resume the performance of obligations as soon as possible.

  4. Severability. If any provision of these T&C is deemed illegal, invalid, or unenforceable at any time under the laws of any country, it shall not affect the legality, validity, or enforceability of the remaining provisions, nor shall it affect the legality, validity, or enforceability of that provision under the laws of other countries.

  5. Modifications to the Terms and Conditions. We reserve the right to update and modify this T&C from time to time. All changes will be publicly posted on Our website. Your continued use of the Service after such changes are made constitutes the User’s acceptance of the latest version of the T&C.

  6. Modifications to Service. MIDA may add, change or remove features or functionality to the Service; modify or introduce limitations to storage or other features (which may vary by plan type); or discontinue the Service altogether at any time. If the User on a paid subscription and MIDA discontinues the Service are being used during your subscription, we will migrate or make available to you a substantially similar service provided by MIDA (if available) and if it’s unable to do so, MIDA will provide you a pro-rata refund of fees prepaid for the remaining period of your subscription.

  7. Survival of Terms. Clause titled (i) Warranty, Disclaimer and Liability; and (ii) Indemnification inclusive, will survive any expiration or termination of these T&C.

  8. This T&C represents the entire and sole consensus between the parties regarding the provision and use of Our Service. This T&C completely supersedes all prior communications, commitments, or other agreements, whether oral or written.

  9. If any provision of this Agreement is deemed illegal, invalid, or unenforceable at any time under the laws of any country, it shall not affect the legality, validity, or enforceability of the remaining provisions, nor shall it affect the legality, validity, or enforceability of that provision under the laws of other countries.

  10. The parties understand and commit to complying with all applicable local, national, international laws, treaties, and regulations regarding the use of the Service. The User acknowledges that MIDA has the right to suspend the provision of or terminate the Service and the granted right to use the Service if there are any changes in relevant legal regulations that, in MIDA’s assessment, render the performance of the service impossible or unlawful.

  • CONTACT FOR SUPPORT

MIDA may provide customer support through available support channels including live chat, email, help documentation. Support response times are provided on a best-effort basis and are not guaranteed unless otherwise agreed separately in writing. MIDA may prioritize support requests based on: (i) Severity of the issue; (ii) Subscription plan; (iii) Security or infrastructure impact; (iv) Service availability impact.
